1. Commercial Scope & Application
These Commercial Terms & Conditions govern all sales agreements, proforma invoices, delivery orders, and hardware transactions between Al Dhahab Computer Trading L.L.C. (“Seller”) and corporate purchasers, resellers, system integrators, or government entities (“Buyer”).
Submission of a Purchase Order (PO), acceptance of a proforma invoice, or physical receipt of ordered hardware constitutes full agreement to these terms.
2. Quotations, Price Holds & Order Confirmation
- Quotation Validity: Unless explicitly stated otherwise in writing, commercial quotations issued by Al Dhahab remain valid for seven (7) calendar days due to international hardware component market fluctuations.
- Order Acceptance: A binding contract is formed solely upon written confirmation by our commercial desk or the issuance of a formal proforma invoice.
- Cancellations: Custom configured enterprise orders (including factory-built servers or non-standard transceivers) cannot be cancelled once processed with the vendor.
3. Pricing, Invoicing & UAE VAT Compliance
All prices quoted for domestic UAE delivery are subject to the prevailing five percent (5%) Value Added Tax (VAT) pursuant to UAE Federal Decree-Law No. 8 of 2017.
Export orders qualifying for zero-rating (0% VAT) require the Buyer to furnish official customs exit certificates (Declaration of Customs Exit) and valid bill of lading / airway bill documentation within the statutory timeframe mandated by the Federal Tax Authority.
4. Delivery, Risk Transfer & Inspection Period
- Delivery Handover: Risk of loss or damage transfers to the Buyer upon physical handover at our Deira facility or upon delivery to Buyer’s specified site/courier.
- Inspection Window: The Buyer must inspect all cartons and exterior seals upon delivery. Any physical damage or discrepancy against the packing list must be recorded on the delivery note and notified to Al Dhahab in writing within forty-eight (48) hours of receipt.
5. Genuine Product Warranty & RMA Policy
Al Dhahab warrants that all products supplied are 100% genuine and sourced through authorized manufacturer channels. Products carry the standard manufacturer warranty applicable in the UAE and Middle East.
Warranty claims for hardware malfunction must follow the official manufacturer service center RMA protocol. Al Dhahab will assist corporate buyers with service center coordination, DOA (Dead on Arrival) replacements, and documentation where eligible.
6. Cross-Border Export & Compliance
For consignments destined for GCC, African, or CIS markets, the Buyer is responsible for compliance with import regulations, customs duties, and type-approval certificates in the destination country. Al Dhahab provides commercial invoices, packing lists, and Certificate of Origin (COO) attested by the Dubai Chamber of Commerce upon request.
7. Governing Law & Dispute Resolution
These terms and all commercial transactions entered into by Al Dhahab Computer Trading LLC shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the local laws applicable in the Emirate of Dubai.
Any disputes arising out of or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent courts of Dubai, UAE.
